Four roles, usually one signature
A Taiwanese partner can occupy several distinct positions at once, and most foreign companies sign all of them over in a single agreement without noticing.
The importer of record is the entity that legally imports and declares your goods. The registration holder holds any product registration or certification the category requires. The distributor buys your stock, warehouses it and sells it into channel. An agent represents you for commission without taking title.
These do not have to be the same company. Separating the legal spine — import rights, registrations, certifications, trademark — from the sales relationship means you can change who sells for you without your right to sell moving with them.
Register your trademark before the conversations start
File with the Intellectual Property Office in your own name before you begin partner discussions, and bar the partner contractually from filing anything resembling your marks.
This costs very little at the outset. Recovering a mark someone else registered while you were negotiating is a different order of problem.
Exclusivity, if you must
Most Taiwanese firms are small and medium-sized enterprises, frequently family-owned, often trading and manufacturing at once. Exclusivity will be asked for early and framed as a condition of commitment.
Where it is granted, tie it to annual purchase targets with automatic lapse on failure, and bound it by channel or region rather than granting the whole island across every route to market. A partner who genuinely intends to perform rarely objects to targets.
Qualifying, rather than listing
A list of distributors is research. Qualification is the work: what they already carry and what that says about their loyalties, whether their sales team reaches the channels you actually need, their financial position, their cold chain or technical support where the category demands it, and their succession plan.
Reference conversations with their existing principals tell you more than any meeting with their sales director. Access in Taiwan runs through introductions and repeat visits, not cold outreach.
Where to meet them
Taiwan’s trade calendar is a sourcing tool. TIMTOS, the machine tool show, runs 2 to 6 March 2027. COMPUTEX runs 1 to 4 June 2027. The Food Taipei group of shows runs 23 to 26 June 2027, trade-only for the first three days.
Arriving at these with a shortlist and booked meetings is a different exercise from walking the halls collecting cards.
Common questions
Should we give a Taiwanese distributor exclusivity?
Not at the outset. If you must, tie it to purchase targets with automatic lapse and limit it by channel or region rather than granting all of Taiwan across every channel.
Should our distributor also be the importer of record?
They can be, but it is safer if they are not. Keeping import rights and registrations in a vehicle you control means you can change sales partner without losing your legal ability to sell.
When should we register our trademark?
Before partner conversations begin, with the Intellectual Property Office, in your own name.
Where do we find candidate distributors?
Category trade shows, the buyers at your target chains, and referral. Access in Taiwan runs through introductions and repeat visits rather than cold approaches.
